ten, kdo se zaregistruje na internetové stránce;
Společnost Troostwijk Veilingen B.V. a/nebo její pobočka/pobočky či sesterská společnost/společnosti uvedené na
internetových stránkách;
částka nejvyšší – přidělené – nabídky navýšená o:
– obchodní přirážku k nejvyšší nabídce – a DPH
registrace uživatele na internetové stránce prostřednictvím úplného vyplnění formuláře k registraci, který je uveden na
internetové stránce;
každá nabídka na položku ze strany uživatele během aukce;
předmět nebo několik předmětů, které jsou draženy společně (pod stejným číslem);
veřejný prodej movitého majetku organizovaný společností Troostwijk prostřednictvím internetu;
ten, kdo je pověřen dražit položku;
uživatel, jemuž byla položka přidělena;
smlouva mezi společností Troostwijk a uživatelem;
smlouva mezi kupujícím a prodávajícím;
vlastní vydání položky kupujícímu nebo jeho oprávněnému zástupci;
Všeobecné smluvní podmínky pro přístup k internetové stránce a jejímu užívání;
tyto Všeobecné smluvní podmínky;
platné smluvní podmínky, dodatečné, doplňkové či odchylující se od Všeobecných smluvních podmínek pro uživatele a
Všeobecných smluvních podmínek pro on­line aukce, jak jsou uvedeny na internetové stránce pro dotyčnou aukci;
prohlášení společnosti Troostwijk, že položka či kombinace položek byla přidělena nejvyšší nabídce neprodleně po
zaplacení kupní ceny.
Článek 2. Platnost
2.1 Při účasti na aukcích platí pro vztah mezi prodávajícími a uživateli na straně jedné a společností Troostwijk na straně druhé Všeobecné smluvní
podmínky pro on­line aukce.
2.2 Platnost jiných než stávajících Všeobecných smluvních podmínek, Všeobecných smluvních podmínek pro uživatele a Specifických smluvních
podmínek pro on­line aukce se vylučuje.
Článek 3. Aukce
3.1 Společnost Troostwijk si vyhrazuje právo zrušit aukci, ukončit aukci dříve, než bylo uvedeno na internetových stránkách, či aukci prodloužit. V
případě technických problémů, které mají za následek částečnou a/nebo úplnou nepřístupnost internetové stránky pro uživatele, si společnost
Troostwijk vyhrazuje právo prodloužit aukci o 24 hodin.
3.2 Současně s registrací uživatel potvrzuje, že byl seznámen a souhlasí se speciálními podmínkami internetové aukce a dále rovněž s možnými
technickými nedostatky, které mohou nastat. Společnost Troostwijk se zříká veškeré odpovědnosti za jakékoli škody, jež mohou z nějakého
důvodu nastat, a to přímo či nepřímo, včetně škod způsobených používáním internetové stránky, s výjimkou úmyslného či vědomého zanedbání
ze strany společnosti Troostwijk. Společnost Troostwijk zejména nepřebírá žádnou odpovědnost za škody způsobené jakýmkoli způsobem z
důvodu:
­ úkonů prováděných uživatelem, které nejsou v souladu s instrukcemi uváděnými na internetové stránce;
­ nemožnosti používat internetovou stránku (v plném rozsahu) a/nebo z důvodu jiné poruchy internetové stránky či podpůrného systému;
­ kdy položky neodpovídají specifikacím uveřejněným na internetové stránce;
­ uveřejnění nesprávných, neúplných či neaktuálních informací na internetové stránce;
­ softwarových chyb internetové stránky a/nebo podpůrného systému;
­ nezákonného používání systémů, včetně internetové stránky společnosti Troostwijk, třetí stranou;
­ úkonů prodávajícího poté, co uživatel uzavřel kupní smlouvu s prodávajícím.

Článek 4. Organizace aukce
4.1 Společnost Troostwijk zajistí organizaci, přípravu a provádění aukce.
4.2 Společnost Troostwijk má právo, a to bez povinnosti udání důvodu, učinit následující kroky před zahájením nebo v průběhu aukce:
­ neuznat nabídku jako takovou;
­ vyloučit jednoho či více uživatelů z aukce;
­ shromáždit předměty do položek, rozdělit položky či vyřadit položky z aukce;
­ opravit chyby způsobené společností Troostwijk v oblasti nabídek a/nebo přidělování položek, aniž by uživateli z těchto chyb vyplynuly nějaké
nároky;
­ učinit veškerá další opatření, která jsou z jejího pohledu nezbytná.
4.3 Společnost Troostwijk má právo stanovit takovou podmínku pro účast na určité aukci a/nebo pro nabídky na určité položky, která spočívá v
tom, že uživatel musí poskytnout společnosti Troostwijk před zahájením aukce uspokojivé bankovní garance.
4.4 Společnost Troostwijk vydává závazná rozhodnutí týkající se průběhu aukce a situací, které během aukce nastaly.
Článek 5. Aukční nabídky; Kupní smlouva
5.1 Uživatel může umístit svou nabídku na internetovou stránku, a to na jednu či více položek. Všechny nabídky jsou neodvolatelné a bezvýhradné.
Společnost Troostwijk a/nebo prodávající mají právo odmítnout nabídku bez udání důvodu. Učiněné nabídky nezahrnují obchodní přirážku ani
DPH. Společnost Troostwijk je oprávněna činit nabídky za třetí strany.
5.2 Je­li položka vložena do aukce v kombinaci s jednou či více dalšími položkami, bude toto uvedeno na samostatné stránce konkrétní nabídky. V
takovém případě se nejprve vznášejí nabídky na individuální položky a teprve po uzavření všech individuálních položek je možné činit nabídky
na kombinované položky. Individuální položky mohou být přiděleny pouze v případě, že celková částka nejvyšších doložitelných nabídek na
individuální položky je vyšší než nejvyšší doložitelná nabídka na kombinaci položek. Kombinované položky budou přiděleny pouze v případě, že
nejvyšší doložitelná nabídka na kombinované položky je vyšší než celková částka nejvyšších doložitelných nabídek na individuální položky.
5.3 Nabídky lze činit formou ‚fixní nabídky‘ nebo ‚zprostředkované nabídky‘. V případě fixní nabídky uživatel učiní nabídku prostřednictvím fixní
částky na určitou položku. V případě zprostředkované nabídky uživatel uvede maximální částku, kterou je připraven za položku zaplatit. Aukční
systém dohlédne na to, aby v případě, kdy nebylo dosaženo maximální částky uvedené uživatelem, navýšil uživatel nejvyšší nabídku třetí strany
o nejnižší možné minimum. Uživatel může uplatnění zprostředkované nabídky zabránit výhradně tím, že v okamžiku nejvyšší nabídky učiní fixní
nabídku.
5.4 Kupní smlouva vzniká na základě přidělení položky. Položka je zpravidla přidělena uživateli, který vznesl nejvyšší nabídku. S odkazem na
platnost článku 5.1, na základě podmínek přidělování položek uvedených ve Specifických smluvních podmínkách pro on­line aukce či z jiných
důvodů dle uvážení společnosti Troostwijk, může být položka přidělena jinému uživateli, který vznesl nejvyšší doložitelnou nabídku.
5.5 Kupující obdrží ve lhůtě 48 hodin po ukončení aukce (vyjma sobot, nedělí a svátků) e­mail jménem prodávajícího (prodávajících) obsahující
sdělení o tom, že byla uzavřena kupní smlouva. V případě, že uživatel žádný e­mail v uvedené lhůtě neobdrží, znamená to, že jeho nabídka
nebyla přijata. Společnost Troostwijk má poté právo položku nepřidělit nebo ji nepřidělit v souladu s pozastavujícími podmínkami.
5.6 Riziko spojené s položkou (položkami) přechází na kupujícího v okamžiku přidělení položky (položek).
5.7 Společnost Troostwijk není smluvní stranou pro uzavření kupní smlouvy, je pouze jejím zprostředkovatelem. V případě, že se jedná o nucenou
dražbu, bude toto uvedeno ve Všeobecných smluvních podmínkách pro on­line aukce.
5.8 Je­li příjemcem prodejce, dojde k uplatnění článku 7.19 občanského zákoníku.
5.9 V případě, že aukce probíhá za přítomnosti notáře či soudního vykonavatele, stává se tento dohlížitelem aukce, umisťovaných nabídek a
přidělování položek.
Článek 6. Záruky, nároky a náhrady škody
6.1 S ohledem na položky a případné požadavky týkající se položek a vznesené třetími stranami neposkytuje společnost Troostwijk a/nebo
prodávající žádné záruky jakéhokoli druhu. Kupující se zříká jakýchkoli práv s výjimkou těch, která mu náleží dle mandatorního práva.
6.2 Hodnota prodávaných položek se rovná hodnotě, v jaké se nacházejí k datu svého přidělení společně se všemi výhodami a břemeny, které s
nimi souvisejí. Společnost Troostwijk a/nebo prodávající neposkytují žádné náhrady škody za viditelné či skryté vady ani žádné záruky v
souvislosti s úplností, počtem, funkcí, použitelností, prodejností, existencí či neexistencí práv třetích stran a/nebo možností převodu na třetí
strany. Vady jakéhokoli druhu, nesplněná očekávání kupujícího a/nebo postoupení třetím stranám nejsou zdrojem absolutně žádného nároku ve
vztahu k případným škodám a/nebo slevě. Vychází se z předpokladu, že si kupující koupenou položku pečlivě prohlédl předem.
6.3 Pokud se v souvislosti s položkami vyskytnou nároky třetích stran na zadržení dané položky, je kupující povinen podržet položku (položky), které
se to týká, pro tyto třetí strany za dodržení podmínky převodu položky na třetí strany na základě jejich žádosti, či případné další dohody se
třetími stranami.
6.4 Kupující osvobodí společnost Troostwijk a/nebo prodávajícího před jakýmikoli nároky třetích stran ve vztahu ke kupní smlouvě.

Článek 7. Platební povinnosti kupujícího
7.1 Kupující je povinen poukázat částku shodnou s kupní cenou na účet uvedený společností Troostwijk do tří dnů (vyjma sobot, nedělí a svátků) od
potvrzení kupní smlouvy. Platba se poukazuje v eurech nebo jiné měně stanovené společností Troostwijk.
7.2 V případě pozdní platby této částky naúčtuje společnost Troostwijk kupujícímu 15% kupní ceny jako pokutu za inkasní a/nebo mimosoudní
náklady, navýšené o statutární obchodní úrok za nezaplacenou částku, navýšenou o 3% ročně, počínaje dnem, kdy částka měla být připsána
na účet, do dne, kdy byla skutečně připsána.
7.3 Účelem plateb je v první řadě ponížit náklady, poté úrokové poplatky a nakonec kupní cenu.
Článek 8. Dny otevřených dveří, aukce a výdej
8.1 Každý kdo vstoupí do budovy či na pozemky ve dnech otevřených dveří či v den vydání položky, tak činí zcela na vlastní nebezpečí. Všichni jsou
povinni se řídit instrukcemi společnosti Troostwijk a/nebo jí pověřenými osobami. Společnost Troostwijk a prodávající nepřebírají žádnou
odpovědnost za škody vzniknuvší v souvislosti s návštěvou budov či pozemků.
Článek 9. Výdej položek
9.1 Pokud kupující splnil všechny své platební závazky, může si položku (položky) neprodleně vyzvednout v době úředních hodin na místě určeném
společností Troostwijk oproti prokázání své totožnosti. Kupující je povinen vyzvednout si položku (položky) nejpozději do data uvedeného ve
Specifických smluvních podmínkách pro on­line aukce. Společnost Troostwijk může stanovit, že určitá položka (položky) může být vyzvednuta
až poté, co byly vydány ostatní položky.
9.2 Po vydání položky zaniká právo kupujícího na ukončení či zrušení kupní smlouvy.
9.3 Pokud se ukáže, že položku není možné vydat z důvodu nároků třetích stran nebo proto, že vydání může způsobit nepřijatelné škody na budově
či areálu, kde je položka uložena, nebo se vyskytne jakákoli jiná nepřijatelná skutečnost z jiného důvodu, má společnost Troostwijk právo
vypovědět kupní smlouvu. Výpověď smlouvy je kupujícímu doručena e­mailem a/nebo doporučenou poštou na adresu, kterou kupující uvedl.
Společnosti Troostwijk a/nebo kupujícímu následně nevzniká nárok na náhradu částek, které již kupující společnosti Troostwijk za nákup
položky (položek) uhradil.
9.4 Kupující, jehož položka (položky) překáží v souvislosti s vyzvednutím jiných položek, je povinen toto neprodleně dát do pořádku poté, co od
společnosti Troostwijk obdržel e­mail či jiný písemný dokument se sdělením, že si má svou položku (položky) vyzvednout. Zajištění případného
skladování třetími osobami se provádí na vlastní náklady či riziko kupujícího.
9.5 Kupující je povinen provést demontáž či demolici své položky (položek) a převzít si ji. Přebírá veškerou odpovědnost za škody v této
souvislosti způsobené na majetku ostatních. Dále má rovněž povinnost osvobodit společnost Troostwijk a prodávajícího od veškerých nároků
třetích stran, vyplývajících z demontáže, demolice a/nebo převzetí své položky (položek).
9.6 Během demontáže, demolice či přebírání položek je kupující povinen se řídit instrukcemi společnosti Troostwijk a/nebo osobami společností
Troostwijk pověřenými.
9.7 Kupující je povinen zajistit, aby on nebo jiné jím pověřené osoby provádějící demontáž, demolici či transport položek, měly požadovaná
povolení. Společnost Troostwijk a/nebo prodávající nepřebírají odpovědnost za chybějící potřebné dokumenty a/nebo za porušení státních
předpisů v souvislosti s demontáží, demolicí a/nebo transportem ze strany kupujícího nebo jím pověřených osob.
9.8 V situacích, kdy je nezbytné demontovat budovy za účelem převzetí přidělených položek, je tak možné učinit pouze po předchozí dohodě a na
základě písemného svolení od společnosti Troostwijk a za dodržení podmínek uvedených v souvislosti s udělením takového povolení.
9.9 Pokud tak společnost Troostwijk stanoví, složí kupující v souvislosti s případným poškozením budov zálohu. V případě, že k poškození dojde,
bude tato záloha použita na nápravu škod, přičemž kupujícímu vzniká povinnost zaplatit náhradu škody převyšující výši této zálohy. V případě,
že žádná škoda nevznikne, bude záloha vrácena kupujícímu.
Článek 10. Výpověď kupní smlouvy
10.1 V případě, že kupující nesplní nějakou povinnost vyplývající z kupní smlouvy, včetně (avšak ne výhradně): (i) nezaplacení kupní ceny nebo nezaplacení této částky včas; (ii) nevyzvednutí položky (položek) včas a/nebo (iii) neposkytnutí požadovaných informací před vyzvednutím, je kupující bez předchozího uvědomění obviněn z neplnění smlouvy a společnost
Troostwijk může jménem prodávajícího vypovědět kupní smlouvu. V takovém případě má společnost Troostwijk možnost přidělit danou
položku (položky) jiné straně, aniž by Troostwijk a/nebo prodejce přebírali odpovědnost za jakékoli škody.
10.2 V případě ukončení smlouvy, jak je uvedeno v článku 10.1., musí kupující, který porušil smlouvu, zaplatit kromě obchodní přirážky ještě také
pokutu ve výši 25% kupní ceny, která bude použita k pokrytí administrativních, skladovacích, pojišťovacích a přepravních nákladů, apod., v
závislosti na nároku společnosti Troostwijk a/nebo prodávajícího na požadavek celkové náhrady škody.

Článek 11. Odpovědnost
11.1 Za předpokladu, že jsou současně uplatněna ostatní ustanovení Všeobecných smluvních podmínek pro on­line aukce, Smluvních podmínek
pro uživatele a (v případě použitelnosti) Specifických smluvních podmínek pro on­line aukce, omezí se ručení společnosti Troostwijk na
částku, jejíž výše pojištění odpovědnosti za škodu společností Troostwijk je v souladu s výše uvedeným příkladem, navýšena o přebytkovou
částku v souladu se zmíněným pojištěním, nebo, je­li tato částka nižší, v souladu s fakturovanou částkou, která souvisí s poplatkem. Toto
omezení se nevztahuje na případ úmyslné či hrubé nedbalosti ze strany společnosti Troostwijk.
11.2 Společnost Troostwijk neodpovídá za nepřímé či následné škody. Dále se vylučuje veškerá odpovědnost společnosti Troostwijk v souvislosti
s jakýmikoli nedostatky položek nebo ve vztahu k (údajnému) porušení práv (duševního vlastnictví) třetích stran.
11.3 Po dohodě se třetími stranami vezme společnost Troostwijk v úvahu nezbytná bezpečnostní opatření. Společnost Troostwijk rovněž
neodpovídá za případné nedostatky těchto třetích stran.
Článek 12. Úpravy; Účinnost
12.1 Za předpokladu, že je některé ustanovení Všeobecných smluvních podmínek pro on­line aukce prohlášeno za neplatné nebo je anulováno,
zůstává platnost zbývajících ustanovení neměnná. Společnost Troostwijk poté vystaví nové ustanovení, které toto neplatné/anulované
ustanovení nahradí, a to s ohledem na význam neplatného/anulovaného ustanovení.
12.2 Společnost Troostwijk může oznámit platnost Specifických podmínek pro on­line aukce jako dodatek k těmto Všeobecným smluvním
podmínkám pro on­line aukce. Informace o používání těchto Specifických podmínek pro on­line aukce bude sdělena před zahájením aukce.
Za předpokladu, že jsou Specifické podmínky pro on­line aukce v rozporu se Všeobecnými smluvními podmínkami pro on­line aukce, jsou
řídícím dokumentem Specifické podmínky pro on­line aukce.
12.3 Odchýlení se od těchto Všeobecných smluvních podmínek pro on­line aukce je možné pouze v případě, je­li učiněno písemnou formou
odpovědným zástupcem společnosti Troostwijk.
12.4 Společnost Troostwijk si vyhrazuje právo učinit dodatky k těmto Všeobecným smluvním podmínkám pro on­line aukce. Tyto dodatky vstoupí v
platnost ve lhůtě 24 hodin poté, co byly zaslány prostřednictvím e­mailu uživateli. Tyto smluvní podmínky nahrazují veškeré předchozí
všeobecné smluvní podmínky, pokud není společností Troostwijk výslovně stanoveno jinak.
Článek 13. Platné právo
13.1 Tyto Všeobecné smluvní podmínky pro on­line aukce a právní vztahy, které jsou s aukcí spojeny, se řídí nizozemským právním systémem.
13.2 Nizozemský text Všeobecných smluvních podmínek pro on­line aukce se považuje za originál. Za předpokladu uplatnění Všeobecných
smluvních podmínek pro on­line aukce v několika jazycích, je v případě nejasností či rozporů za řídící považován nizozemský text.
13.3 V případě rozdílů vyplývajících z těchto smluvních podmínek, má místní soud v Amsterdamu právo (s výhradou možnosti odvolání a zákonů,
které stanovují jinak) rozhodnout jinak.
