"smlouva")
I.
Predmet plneni
1. Na zaklade vyberoveho i'lzeni c. 4061/2015-UVN ze dne 8.7.2015 (dale take "Vyberove rizeni") je
predmetem plneni kupni smlouvy dodavka 3D endoskopicke veie pro Chirurgickou kliniku 2. LF
UK a UVN, bl[;ze specifikovaneho v Pi'lioze c. 1 teto smlouvy (dale take jako "zbozi" nebo
"pristroj").
II.
Doba a misto plneni
1. Prodavajicf se zavazuje dod at pi'fstroj do 8 tydnu od data uzavi'enf smlouvy, nejpozdeji do
30 .9.2015 jakoz i splnit dalsf sve smluvnf zavazky v souladu s podminkami sjednanymi touto
smlouvou, v souladu se zadavacf dokumentacf Vyberoveho i'fzeni a nabfdkou prodavajfcfho
ucinenou v ramci VybE'lroveho rizen!.
2. Prodavajlci se zavazuje dodat pi'istroj na Chirurgickou kliniku 2. LF UK a lJVN, tj . konkretne na
centralnl operacni saly v pavilonu CH2, v sfdle kupujfciho.
3. Oodanfm se rozumi pi'edanf pi'fstroje bez vad a v souladu s Pi'ilohou t . 1 smlouvy a v souladu se
zadavaci dokumentaci Vyberoveho rrzenL Oodani pi'istroje potvrdi smluvni strany na pi'edavacfm
protokolu a dodacim listu.
4. Nebude-li dodano zbozf v souladu se smlouvou nebo ma-li zbozf vady, neni kupujicf povinen
zbotf pi'evzit. V tom pripade je prodavajfcf povinen stav napravit, tedy dodat bezvadne zbozi do
dalsich 48 hodin.
5. Prodavajicl se zavazuje dodat pi'edmet plnenf ve Ihute uvedene v odst. 1 tohoto clanku smlouvy,
do mfsta plnenf s dolozenim dodaclho listu .

III.
Kupnf cena
1.
•
Sjednana kupnf cena pi'lstroje ve vysi 1.980.970,00 Kt bez OPH, tj . 2.396.974,00 Kt vcetne OPH
obsahuje veskere naklady prodavajlciho vc. balneho, dopravneho, cia, poplatku atd .
2. Smluvnf strany se dohodly, ze sjednanou cenu Ize pi'ekrocit pouze ve vyjimecnych pi'fpadech , tj.
pri prokazatelnem navysenf cen surovin , paliv , energii, smenneho kurzu koruny vuti euru nebo
dolaru 0 vice net 20% , kdyz takova zmena ceny musi byt pi'edem a dostatecne dopi'edu
projednana s kupujfcim , tento musf zmenu kupnf ceny prokazatelne odsouhlasit.
V pi'fpade zmeny celnich ti danovych sazeb muze byt kupni cena navysena bez dalsfho, ovsem
jen ve vysi odpovidajici dane zmene.
3. V ramci kupni ceny je zahrnut i zarutnf servis pristroje, provadeneho ve smyslu tlanku VI.
smlouvy, jakoz i zaskoleni obsluhy pi'fstroje die tl. V. smlouvy.
IV.
Fakturacnf a platebni podminky
1. Kupuj ici neposkytne k uhrade kupnf ceny zboti zalohu.

Faktura musf splnovat naletitosti danoveho dokladu die zakona t. 563/1991 Sb., 0 utetnictvi , ve
znen i pozdejsfch pi'edpisu. Utetni a danovy doklad musf obsahovat zejmena tyto nalezitosti:
a) oznaceni povinne a opravnene osoby, adresu , sidlo, DIG, b) tfslo dokladu , c) den odeslani a den splatnosti, den zdanitelneho plnenl , d) oznatenf penetnfho ustavu a tfslo uctu, na kterY se ma platit, konstantni a variabilni symbol,
e) uctovanou tastku, OPH, uttovanou tastku vt. OPH,
f) nazev dodavky, oznatenf tasti dodavky,
g) duvod uttovanf s odvolanfm na smlouvu ;
h) razitko a podpis osoby opravnene k vystaven i danoveho a ucetnfho dokladu,
i) seznam pi'iloh ,
j) dalsi nalezitosti , pokud je stanovi obecne zavazny pi'edpis,
V pripade, ze danovy utetnl doklad (faktura) nebude obsahovat nalezitosti vyse uvedene nebo k
nemu nebudou pi'ilozeny i'adne doklady (pi'flohy) smlouvou vytadovane, je kupujlci opravnen
vratit jej prodavajfclmu a pozadovat vystaveni noveho i'adneho darioveho utetnlho dokladu
(faktury). Pravo vratit tento doklad prodavajicimu zanika, neuplatni-Ii jej kupujici do 14ti
pracovnlch dnu ode dne dorutenl takoveho dokladu prodavajfcfm . Potfnaje dnem dorutenf
opraveneho dal"loveho lIcetnfho dokladu (faktury) kupujfcimu zacne plynout nova Ihuta splatnosti.
Prodavajlci, je v~ak povinen opravit vady dokladu nebo doklad doplnit 0 smlouvou pozadovane
pi'liohy, je-li k tomu kupujicfm dodatecne vyzvan i pO Ihute vyse uvedene s tim, ze v~ak takovato
vyzva nema ucinky spojene s vracenim danoveho ucetniho dokladu (faktury) die tohoto odstavce.
3. Doba splatnosti faktury je stanovena na 60 kalendai'nich dnu ode dne dorueenl faktury
kupujicimu.
4. Platby budou problhat vyhradne v CZK a rovnez veskere cenove udaje budou v teto mene.
V.
Obchodni podminky, zaskoleni obsluhy pi'istroje
•
1. Prodavajici pi'eda kupujicimu k dodanemu pi'lstroji neprodlene dodaci list, ihned pri pi'edanl
pi'istroje je povinen uvest prlstroj do provozu (tj. provest instalaci, napojit na veskere poti'ebne
site). Spolu s pi'istrojem je prodavajlcl povinen dodat navod k pouziti v ceskem jazyce a
prohlMeni 0 shode v listinne i elektronicke podobe. Prodavajici je povinen spolu s pi'istrojem
pl'edlozit veskere dokumenty, revize, prohlaseni a dal~ich podkladu nutnych pro provoz pi'istroje.

V souvislosti s instalaci a uvedenlm pi'istroje do provozu je prodavajlci povinen provest zaskolenl
obsluhy na pi'lstroje lib, III a AIZP die § 61 zakona c. 268/2014 a ucinit 0 nem oficielnl plsemny
zapis, ktery musl byt potvrzen pfislusnym pracovnlkem kupujiclho. Pisemny zapis musi
obsahovat potvrzenl 0 opravnenosti vy~kolenych zamestnancu kupujiciho skolit co do obsluhy
pl'istroje dal~1 zamestnance kupujiciho.
3. Prodavajici je dale povinen provest za~koleni personalu Chirurgicke kliniky 2. LF UK a UVN .
4. V pl'fpade prodleni prodavajfciho s dodanlm pi'fstroje a jeho instalaci die odst 1, jakoz i s i'adnym
proskolenim zamestnancu kupujiclho die odst 2, je prodavajfci povinen kupujlcimu uhradit
smluvni pokutu ve vysi 5.000 Kc za kazdy den prodleni, narok na nahradu skody tim nenf dotcen.
VI.
Zaruka za jakost, prava z vadm!ho plneni a zarucni servis
•
1.
Reklamaci zjevnych vad pi'lstroje kupujlcl uplatnl u prodavajicfho pri pi'edanl a pi'evzeti,
ne.ipozdeji do podpisu protokolu 0 pl'edani a prevzeti zapisem do tohoto protokolu .
2. Reklamaci ostatnlch vad je kupujlcl povinen uplatnit u prodavajlciho bez zbytecneho odkladu
plsemne do rukou jeho opravneneho zastupce na adresu uvedenou v zahlavi teto smlouvy.
3. Zarucni doba za jakost pflstroje cinl 24 mesfcu a pocina bezet dnem
jeho uvedenim do provozu (instalacl) die C/. V. odst 1 smlouvy.

Prodavajici je povinen zajistit odezvu do 6 hodin od nahlaseni zavady pi'istroje, dobu nastupu
servisniho technika na opravu pristroje v pi'ipade zarucnfho servisu a odstranenl zavady bez
pouzitr nahradnlch dflu do 24 hodin , pi'i pouziti nahradnich dflu do 72 hodin od nahlaseni zavady
pi'istroje. Prodavajici je povinen zajistit zapujceni nahradnlho pi'fstroje po dobu opravy.
5. Prodavajici se zavazuje v zarucnf dobe bezplatne provadet vsechny vyrobcem pozadovane ci
doporucene ukony (pravidelne bezpecnostne technicke kontroly , validace, kalibrace, servisnf a
preventivni prohlfdky, zkou~ky IZ apod.), vcetne ve~kereho poti'ebneho spoti'ebniho materialu.
VII.
Pozarucni servis
1. Prodavajici kupujfcimu garantuje a zavazuje se provadet pozarucnl servis pi'istroje po dobu 10 let
od instalace pffstroje, resp . po dobu 8 let po skonceni zarucnf doby pi'istroje ve smyslu cl. VI.
odst. 3 smlouvy . Cenfk pozarucnich servisnich zasahU vcetne vyjezdu technika a podminky jejich
realizace (mimo jine reakcni doba, moznost zapujceni nahradniho pi'fstroje pi'i dele trvajlcl oprave
apod.) pi'edstavuji Pi'IIohu c. 2 smlouvy.
VIII.
Smluvni pokuta a urok z prodleni
•
1. V pi'ipade prodlenf prodavajiciho s odstranenlm zjistenych vad a zavad pi'istroje behem zarucni
Ihuty ve Ihutach uvedenych v cl. VI. Smlouvy, rovnez v pi'ipade prodlenl s odstranenim zjistenych
vad a zavad v ramci pozarucnfho servisu ve Ihutach uvedenych v pi'iloze c. 2 je prodavajici
povinen zaplatit kupujfcfmu smluvni pokutu ve vysi 0,05% z ceny pi'lstroje za kazdy zapotaty den
prodlenl at do odstranenl vady.

V pi'fpade prodleni kupujfclho s uhradou kupni ceny dodaneho pi'lstroje ve sjednane Ihute
splatnosti je kupujici povinen zaplatit prodavajicimu smluvni urok z prodleni ve vysi 0,02 % z
dluzne castky za katdy zapocaty den prodleni at do uplneho zaplacenf.
IX.
Ukonceni smlouvy
1. Smluvni strany jsou opravneny tuto smlouvu ukoncit pisemnym odstoupenim a pisemnou
dohodou.
2. Kupujici je opravnen pisemne odstoupit od smlouvy, pokud:
a) na majetek prodavajiciho bylo zahajeno insolvencni i'izeni
b) navrh na prohlaseni konkursu byl zamitnut pro nedostatek majetku
c) prodavajici vstoupi do likvidace
d) nastane vyssi moc, kdy dojde k okolnostem, ktere nemohou smluvni strany ovlivnit a ktere zcela
ana dobu delsl net 90 dnu znemozni nektere ze smluvnich stran plnit sve zavazky ze smlouvy. e) prodavajici bude v prodleni s dodanim pi'istroje dele nez 10 dni. •
3. Kupujlcl je dale opravnen odstoupit od smlouvy, vznikla-li mu cinnosti nebo necinnostf
prodavajicfho skoda nebo vznik skody hrozi nebo bylo-li poskozeno dobre jmeno kupujiciho.
3. Kupujici a prodavajici jsou dale opravneni odstoupit od smlouvy v pi'ipade podstatneho poruseni
smluvnich povinnosti druhou smluvni stranou.
4. Odstoupeni od smlouvy musi byt ucineno pisemne a doruceno druhe strane, prieemz ucinky
odstoupeni nastavaji dnem doruceni pisemneho oznamenf.
5. Smluvni strany mohou ukoncit smlouvu pisemnou dohodou.
XI.
Ostatni ujednimi
1. Prodavajici Sl Je vedom pravnlch nasledku, ktere pro neho vyplynou v pi'fpade nedodrzeni
uvedenych povinnostf, vcetne prava kupujfclho na odstoupeni od smlouvy a nahrady zpusobene
skody.
2. Kupujici je opravnen narJdit prodavajleimu
dodavky
je-li ohrozena bezpecnost
a zdravi praeovnlku nebo jinyeh osob, vznikla-li skoda nebo jejl vznik hrozl nebo jedna-Ii
prodavajlel proti zajmum kupujieiho informovat a dohodnout s nim podmlnky, za kterYch Ize
v dodavce pokracovat.

Zaverecna ustanoveni

Stereoscopic 3D Display Mechanism and Types
A human estimates the depth of an observed object
using elements (depth cues) such as focus. perspective.
interposition (occlusion). relative size. and other cues. The
mechanism for displaying a 3D stereoscopic image is
vergence and stereopsis .
Different types of 3D display systems are available - those
that require g lasses. and those that do nol. There are different
types of glasses-less systems : a lenticular system. para llax
barrier system. and integral system . However. most of these
systems cannot deliver viewing angles particularly in multiple
view that are good enough for professional use. For this
reason . glasses-less systems are usually only found today. for
example. in amusement applications .
•

In addition. the center-support structure does not put the
lenses under stress. and so there is no lens distortion. These
polycarbonate lenses withstand temperature changes and
shock. The ear stems maintain a c o mfortable and secure grip.
preventing the g lasses from slipping. and the nose pads also
provide good grip even when sweat could cause slippage.
BKM-31 G clip-on glasses are for operators who wear g lasses
for eyesight correction. They are very light. weighing only 16 g
(0.56 oz) approximately.
Both the BKM-30G and BKM-31 G circulor-polarizer glasses
block approximately 99% of the sun's ultraviolet rays .'
, BKM-3OG and BKM-31 G circulor-polorlzer glosses cannot be used as
sunglasses. The b locked spectral range IS 280 nm to 380 nm .
Currently there are two types of glasses-based systems : one is
a shuHer system typical of commercia lly available consumer
televisions. lor example. and the other is a circular-polarizer
system which is incorporated in Sony professional and
medical 3D monitors including the lMD-2451 MT.

The circular-polarizer 3D glasses do not require synchronization
w ith the monitor system - even if it is a mulli-monitor system .
Users experience smooth. uninterrupted viewing of multiple
monitors. and fllcker.free viewing even under a nuorescent
light . Added to this. there is no need for baHeries in the
glasses. which are therefore very lightweight. and cross-talk
(interference between right and left lenses) rarely occurs even
when the wearer inclines their head .

an interlaced video source to display on the LCD progressive

essential high-level accuracy when monitoring detailed
images from full-HD video sources.

a conventional white one. This is simply because this monitor

Multi Picture-ond-picture Capability
User Memory Function
The LMD-2451MT provides a variety of input and output
combinations for multi-display: Side-by-side (SBS). Picture-out­
picture (POP). and Picture-in-picture (PIP). With the optional
BKM-256DD DVI-D input adaptor. for example. the monitor can
concurrently display two DVI input signal images. Also. in Side­
by-side mode with vertical full scan. it is easier to diagnose
captured moving Images. These flexible display modes ore
convenient when displaying images from an endoscope.
ultrasound. X-roy, and more. They also add convenience,
allowing users to check captured images from an archive
and still images on a printer.
Users can save up to 20 picture settings, each with a user
name. This data can be saved and loaded on the monitor
or onto external equipment such as a PC connected in Serial
Remote mode.
When no input Signal is received for over a minute, the monitor
goes into power-saving mode and consumes minimal power.
This function prevents unnecessary electrical consumption .
External Remote Control Function
Examples of multi-display
The LMD-2451 MT has an external remote control capability for
input/output signal selection and adjustment of various items
via Ethernet (1 OBASE-T!l OOBASE-TX) connection. Users can
execute the some operation on all connected monitors, or put
all connected monitors into the same setup and adjusfment
state.

Scan Function
Scan size can be selected between -NORMAL (O"h)" , -OVER
(20%)". "FULL-, and "NATIVE" scan modes. The aspect ratio
can be switched between 16:9 and 4:3 according to the
input Signal.

Mirror Image
The LMD-2451 MT can reproduce a full-screen size, reverse
image. This function is useful when it is impossible to phySically
turn an endoscopic camera system or when the camera system
cannot deliver a reversed image. This Mirror Image function of
the LMD-2451MT is ideal for procedures requiring two surgeons
to work at opposite pOints of orientation to a patient, for
example in thoracoscopic surgery, laparoscopic surgery, and
other applications.

Key Inhibit Function
Key inhibit is a menu function that helps prevent inadvertent
operation from the control panel. Users can also prevent this
type of operator mistake just by pushing the Control button
on the control ponel; this turns off the LED switch lights, and
concels the switch functions .

/ Input Versatility
Optional BKM-256DD Input Adaptor for Dual DVI-D Inputs
The lMD-2451MT monitor can accept almost any signal
ranging from SO to HO video. as well as PC signals. via its
DVI-D and HD1S connectors. In addition to standard inputs.
a variety of different optional input adaptors are offered for
use in the monitor's expansion slots. This versatility allows
images to be monitored from a broad range of medical
equipment sources.
By installing the optional BKM-2S6DD input adaptor in the
monitor's expansion slot. users can employ a maximum of
two DVI inputs and one loop-through output in a standard
configuration.
• Equipped with DVI Signal Level Stable Circuit
The BKM-256DD is equipped with an equalizer circuit that
enables the transfer of input signals over a long d istance
without signal deterioration. For optical fiber transmission. the
S V power required to convert a signal from electric to optical
is supplied from each 14-pin input and output connector.
Optional BKM-250TG Input Adaptor for 3G-SDI
and 3D Display Functions
This interface is compliant with the SMPTE ST 424 :2006 and ST
42S:2008 (SMPTE 424M and 42S) standards. transmitting up
to 4:2:211 O-bit 1080/S0p and 1080/6Op video data using one
SDI cable. It also supports 3G-SDI (level-B) and dual-stream
HD-SDI - these signals are required for 3D display functions .

Convenient Preset Function
In addition to typical signal formats. the lMD-24S1 MT supports
a variety of video signal formats qualified by endoscopic
manufacturers. The lMD-24S1 MT includes a table of seven
types of preset to accammodate these video signa l formats .
Users can easily select from the on-screen display (OSD)
menu their preferred monitor setting for each format .

HO-SDI - Its Features and Benetits
•
HD-SDlls an interface to transmit high-definition (HD) video
and audio signals in real time without failure . Because of
this high-quality feature. HD-SDI has begun to penetrate
medical facilities where high-resolution. high-quality image
signal transmission is imperative , The interface connector
is a BNC-type that is small in size and has a lock structure.
The cable type is coaxial, which is comparatively thin and
sufficiently flexible - a 5C-FV cable is an example. The
transmission distance can be extended to approximately
100 m (326 fI) (typical)', so this solution is suitable for
cable installation inside a building . The HD-SDI has 1,5 Gbps bandwidth to transmit y /Cb/Cr 4:2:2 10-bit full-HD 1920 x 1060i signals, In addition, 3G-SDI
featuring 3 Gbps bandwidth is also available to transmit
Y/Cb/Cr 4:2:2 10-bit 1920 x lOBO/SOp and 60p signals.
Both the HD-SDI and the 3G-SDI interface are ideal for
high-definltlon (HD) image transmission, and they help In
applications for minimally invasive (MI) procedures.
