česká rada pro šetrnébudovy integruje společnosti a
organizace z různých sektorů ekonomiky s Vazbou na trh

The Czech Green Building Council
integrates
companies and organizations from all sectors of the
economy related to the real estate market and the
construction industry and stimulates the ma.ket to
transform methods of design, construction,
renovation and operation of buildings and urban
structures with the aim to create a healthy,
prosperous, environmentally and socially friendly
built environment that enhances the quality oÍ liÍe.

1. The Members' Meeting js comprised oÍ all
Members and convenes at least once a vear.
The Chairman of the Executive Committee shall
be the Chairrnan of the Members' Meeting
unless the Members' Meeting decides
otherwise. The first session of the Members'
Meeting shall be called to order by the Steering
Committee within three months after
establishing the Association. The following
Members'Meeting sessions are called to order
by the DÍrector' The Director is obliged to call
the Members' Meeting to order within one
month ií asked in writing by at least one-third of

Each Member represents one vote. The
Members may vote in person or they may be
represented by an authorised person. They may

1. The Boaíd of Directors has nine members.
Candidates for the Board of Directors shall be
actively solicited and subsequently nominated
by the Executive Committee with the goal to

2. The Board of Directors is elected by the
Members' Meetjng which votes on each
candidate separately. The term of election is

one group of five members and one group of
four members. The term of election of one
group shall start and finish one year earlier than
the term of election of the other group.
3. To achieve this goal, the following special
provision shall apply to the Members'Meeting
held on 15 Sept 2010. The Members-Meetin8
shall elect five members of the Board of
Directors foť two years and four members for
one year. The successÍul candidates for the
Members oÍ the Board of Directors sha|l be
ranked according to numbers of the votes they
obtained. The first five candidates with the

Dírectors passes away, resigns or his/her term

Meeting session, the Member, who nominated

7. Mezi hlaVnÍ povinnosti předstaVenstva patří

a) řídit a kontrolovat činnost 5družení
Včetně publikačních činností,
b) Volit a odvoláVat členy rn/konného
Výboru a ředitele,
c) příjímat a schValoVat plán sdrUžení,
který se nazývá Roadmap a zahrnuje
detailní popis organizační 5truktUry, aktivit
a rozpočtu 5dlUŽeni; Roadmap má práVni
formu vnitřního předpisu,
d) VYhodnocovat přihlášky a přijímat noVé
členy sdružení,
e) rozhodnout o vyloučeníčlena sdružení,
který porušuje stanovy, etický kodex
či
Vnitřní předpisy sdružení;ne5ouhlasí-li

the Board of Directors need to be substituted, a
Members' MeetinB must be convened within
one month to elect the missing substitute
members.
5. The Board of Directors meets quorum if a
simple majority of all its members are present.
The Board of Directors makes decisions through
a simple majority of all its members. The Board
of Directors can make decisions even if some of
its positions are temporarily not filled due to a
resignation or for other reason provided that

6. Members of the Board of Directors may
participate in the meeting of the Board of
